By purchasing Creative Brands services for resale, you agree to adhere to this Reseller Policy.
To ensure that Creative Brands' authorized resellers ("Resellers") are able to maintain healthy margins and ensure that Creative Brands' end users receive a quality sales and customer service experience, Creative Brands has announced this Reseller Policy (the "Reseller Policy"). Creative Brands believes that its end user customers are best served by having resellers who market Creative Brands Services as premium branded products and who provide an outstanding level of service and support to their end user customers.
Creative Brands adopts this Resale and Quality Policy (this "Policy") and requires each person, company or entity (as applicable, a "Reseller") that purchases its services (the "Services") for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any agreement entered into between Creative Brands and Reseller in connection with Reseller's purchase or sale of the Services.
Sales only to end users.
Unless otherwise agreed with Creative Brands in writing, Reseller may only purchase Services for resale to consumers and end users and Reseller may not resell Services to suppliers or for distribution in any manner.
Internet Sales Prohibited.
Reseller shall be prohibited from selling our branded Products over the Internet unless it applies, is approved by Creative Brands, and executes an Authorized Internet Reseller Agreement or other similar agreement governing the manner in which it sells online.
Territory Restricted Sales.
If the Reseller purchases Services under an agreement that obligates the Reseller to resell the Services in a geographic territory, the Reseller must comply with that obligation.
Intellectual property.
Unauthorized use of intellectual property from our Services is prohibited. Resellers who comply with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use Creative Brands' trademarks and copyrights in connection with the sale of the Products. Reseller shall not alter, modify or change any trademark or copyright, nor shall Reseller use any trademark or copyright other than for the promotion and sale of the Services, nor shall Reseller use any trademark or copyright in any manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in automatic revocation of the license granted herein and forfeiture of all rights granted herein. Creative Brands reserves the right to revoke this license at any time for any or no reason.
Inspection Service.
Creative Brands will promptly inspect all Services upon completion and will promptly return on the terms of sale any Services that appear incomplete or unsatisfactory upon inspection.
Sales Practices.
Reseller shall conduct its business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading or unethical advertising or practices at any time or make any warranties or representations with respect to the Services, except as expressly authorized by Creative Brands. Reseller shall comply with applicable laws, rules, regulations and policies relating to the advertising, sale and marketing of the Services.
Customer service level.
Reseller shall provide the highest levels of customer service. Reseller and Reseller's sales personnel must be familiar with the special features of all Creative Brands Services marketed for sale and must obtain sufficient product knowledge to advise customers on the selection and safe use of the Services, as well as any applicable warranties, guarantees or returns. policy.
Customer service channels.
Reseller will maintain email and telephone customer service response functions as required by the original Agreement to handle customer complaints, returns and other customer service functions. Upon Creative Brands' request, Reseller will provide any reports or other information requested by Creative Brands, with respect to a particular Service to determine the date of purchase of the Service by Reseller, the location where the Service was purchased and the dates on which the Service was sold. or performed by Reseller to a purchaser.
Consumer Safety and Cancellation of Service.
Reseller will cooperate with Creative Brands in connection with any investigation of consumer safety claims or any evaluation of termination of Service. To ensure the safety and well-being of end users of the Services, Reseller agrees to cooperate with Creative Brands with respect to any Service cancellation or other consumer safety information dissemination efforts.
Service failure.
If a significant amount of Services purchased by Reseller fails, Reseller shall promptly report such event to Creative Brands.
Report unauthorized resellers.
If Reseller has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by Creative Brands, Reseller must immediately notify Creative Brands.
Other information, documents and reports.
Reseller shall provide Creative Brands with such supplemental information, documents and reports as Creative Brands may request to validate Reseller's compliance with this Policy and to support Creative Brands' warranty and customer service support obligations and initiatives.
Unilateral policy changes
Creative Brands sales personnel have no authority to modify or grant exceptions to this One-Sided Policy. All questions regarding the interpretation of this Policy should be directed by email.
Termination and liability due to policy violation
If Creative Brands determines that the Reseller is in violation of the Reseller Policy, it may take appropriate legal action, including, but not limited to, refusing to accept orders from the Reseller or instructing its distributors to refuse to accept orders from the Reseller.
Policy modification and changes
Creative Brands reserves the right to update, amend or modify this Reseller Policy at any time. Unless otherwise stated, such amendments shall be effective immediately and Reseller's continued use, advertising, offering for sale or sale of the Products shall be deemed to be Reseller's acceptance of the amendments.
